Service Provider Terms

Terms for offering services on Holiday PA

These Holiday PA Terms for Service Providers govern your use of the Holiday PA platform to create a Profile and offer Services to customers. By listing or offering a Service on Holiday PA, you agree to these Service Provider Terms.

These terms supplement Holiday PA's general Terms of Service and anything applicable from Payment and Payouts Overview. Except as explicitly stated otherwise, all provisions of the general Terms of Service apply to Service Providers, their Profiles, and the Services they offer. If there is any conflict between the general Terms of Service and these Service Provider Terms, these Service Provider Terms will control with respect to your Services.

1. Listing a Service

To list a Service on Holiday PA, you must create a Profile and provide the Service details for publication on the platform. Holiday PA does not conduct a pre-publication review of Services; however, all Services offered must comply with our Service Provider Standards and any applicable requirements.

Required Information for Customers

When listing a Service, you must, where applicable, fully inform customers about:

  • Any inherent or incidental risks associated with the Service
  • Any requirements or qualifications for participation (for example, minimum age, skill level, or fitness requirements)
  • Any licenses, permits, certifications, or registrations that are required for you to provide the Service (and that you hold, if applicable)
  • Any other important information a customer should know to safely and properly participate in or receive the Service (such as special instructions, dress codes, or equipment needed from the customer)

Holiday PA reserves the right, in its sole discretion, to remove or suspend any Service that does not comply with these standards or other applicable Terms.

2. Creating and Managing Your Profile

The Holiday PA platform provides tools to help you set up and manage your Service Provider Profile. You are solely responsible for reviewing and ensuring the completeness and accuracy of all information and content in your Profile at all times.

This responsibility applies regardless of whether you utilise any Holiday PA tools or any third-party services to assist in creating or updating your Profile. It is important to keep your Profile information (description of services, availability, pricing, etc.) accurate and up to date.

3. Content

Any content you provide or approve for inclusion in your Profile (including text, images, audio, or video) that contains any person's name, image, likeness, or voice grants Holiday PA the right to use such content (and any names, images, likenesses, or voices depicted) to promote, market, or advertise the Holiday PA platform in any media format.

If your content includes any third party's name, image, likeness, or voice, you represent and warrant that you have obtained a written release or permission from that third party allowing Holiday PA to use the content as described. You agree to provide Holiday PA with copies of such releases upon request.

You are solely responsible and liable for all content you provide. This means you must ensure that your content does not infringe or violate the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party.

4. Providing Services to Holiday PA Customers

Once your Service is published on the Holiday PA platform, you may set its availability and accept booking requests as enabled by the platform. By offering a Service through Holiday PA, you agree that you will provide that Service only to customers who have booked through the Holiday PA platform.

Platform Exclusivity

You must not solicit or accept any off-platform bookings for Services listed on Holiday PA, nor permit any individual to participate in or benefit from a Service unless that individual is a customer who has booked (or been duly added to the booking) through Holiday PA.

The relationship and connection that Holiday PA facilitates between you and each customer belongs exclusively to Holiday PA. If we discover—or reasonably suspect—that you are attempting to transact privately or divert customers away from the platform, Holiday PA may, in its sole discretion, immediately suspend or permanently ban your account and remove the relevant Services. This policy ensures that all bookings and payments are properly tracked and that Holiday PA's terms, protections, and quality standards apply to every transaction.

5. Equipment

You are responsible for any equipment, supplies, vehicles, and other materials (collectively, "Equipment") that you provide in order to deliver your Service. You must ensure that all such Equipment is in good working order and complies with all applicable safety, inspection, and operational laws and regulations. Except as required by law, you assume all risk of damage to or loss of the Equipment you supply.

Where the Service customisations or booking details specify that existing items at a customer's residence (or facilities supplied by the customer) will be used, you are not responsible for those customer-provided items, except to the extent that you cause damage through negligence or misconduct. Any allocation of responsibility for customer-provided items that differ from this default rule must be expressly agreed between you and the customer in writing (including within the booking details on the Holiday PA platform).

6. Additional Service Provider Responsibilities

As a Service Provider on Holiday PA, you are expected to conduct your Services in a professional and lawful manner. You are responsible for:

Legal Compliance

Understanding and complying with all laws, rules, and regulations that apply to your Services. This includes local, regional, and national requirements for the type of service you provide.

Licenses and Permits

Obtaining and maintaining any required licenses, permits, certifications, authorisations, or registrations before you provide your Service. These must be kept valid and up to date as long as you offer the Service on Holiday PA.

Record Keeping

Retaining any documentation necessary to demonstrate your compliance with the above requirements (licenses, permits, certifications, etc.), and keeping those documents up to date.

Providing Proof of Compliance

Providing evidence of your compliance (such as copies of licenses or permits) to Holiday PA or its designated agent upon request, or as may be required by the Holiday PA platform. You must also promptly notify Holiday PA if, at any time, you are no longer in compliance with any applicable legal requirements.

Third-Party Agreements

Ensuring that offering and performing your Service through Holiday PA will not breach any agreement you have with a third party. (For example, if you are employed by or under contract with an organisation, make sure that providing services via Holiday PA does not violate any non-compete or other agreements you have.)

In addition, to the maximum extent permitted by law, you are responsible and liable for your own acts and omissions, as well as the acts and omissions of anyone who you allow to assist with, be present for, or participate in the delivery of your Service. For example:

  • You are responsible for leaving any property, venue, or location used for your Service in the same condition that it was in when you arrived. This includes any customer's personal property or any facilities provided for your use during the Service.
  • You are responsible for all reasonable costs of any damage to property or loss of property that is caused by you (or by anyone acting under your direction) in connection with your Service. This includes reimbursing the customer for any damage or loss as appropriate.
  • You must act with integrity, treat customers and others with respect, and comply with all applicable laws at all times while providing your Service.

7. Commission and Payouts

Commission Structure

Holiday PA charges Service Providers a commission equal to 15% of the Service fee on each booking. This commission is deducted from the amount paid by the customer. If a booking involves a rental agency partner (for example, if a rental agency facilitated or referred the customer to the Service), up to 12.5% of the booking value may be allocated to that rental agency partner as part of this commission arrangement. The exact share, if any, to a rental agency partner will depend on Holiday PA's agreements with that partner, but in all cases the total commission taken from the Service Provider for a booking will not exceed 15% of the Service fee for that booking.

Payout Timing

Subject to successful receipt of payment from the customer, Holiday PA (through its payment processor, Stripe) will make the funds from the booking available in your Holiday PA balance 24 hours after the completion of the Service. This 24-hour window is designed to allow time for the customer to report any issues or disputes. Once 24 hours have passed with no dispute reported (or once any reported dispute is resolved), the funds will appear in your available balance, and you may initiate a payout to your selected payout method at any time via your Holiday PA dashboard.

Please note that if a booking is accepted close to the scheduled completion date of the Service, the availability of funds in your balance may be delayed in accordance with Stripe's payment-hold policies. The specific hold period may vary depending on factors such as transaction risk assessment, account history, and local regulations. In such cases, you may initiate your payout as soon as the payment hold is lifted or the conditions of Stripe's policy are met.

All payouts are made to the payout account or method you have designated in your Holiday PA account settings, and you are responsible for ensuring that your payout information is accurate and up to date. For complete payout information, see our Payment and Payouts Overview.

8. Proprietary Rights and No Publicity

Use of Holiday PA Branding

You will not use, display, distribute, or modify any of Holiday PA's trademarks, logos, branding, or other proprietary content (such as text, images, videos, or documents originating from Holiday PA) except as expressly permitted by Holiday PA in writing. Any use of Holiday PA's intellectual property must comply with our guidelines and policies.

Public Communications

You may not issue any public press release or make any public announcement regarding your relationship with Holiday PA or these Service Provider Terms without Holiday PA's prior written consent. This includes, for example, using Holiday PA's name or logo in press releases, advertising materials, or promotional content, except as allowed by Holiday PA's branding guidelines or with explicit permission.

9. Termination

Your Right to Terminate

As a Service Provider, you may terminate this agreement and stop offering Services on Holiday PA at any time, for any reason. You can do this by:

  • Contacting Holiday PA (for example, via email) to let us know you wish to terminate
  • Removing all of your Service listings from your Profile so they are no longer available for booking

Holiday PA's Right to Terminate

Holiday PA may terminate this agreement and/or suspend or deactivate your Service Provider account at any time for any reason, with 30 days' notice to you (such as via the email address or other contact information you have provided).

Immediate Termination

Holiday PA may terminate this agreement and/or deactivate your account immediately and without prior notice under the following circumstances:

  • If you materially breach these Service Provider Terms or any other applicable Terms, policies, or standards of Holiday PA
  • If you materially fail to meet any applicable quality standards or requirements for Services on Holiday PA
  • If any required license, permit, or registration for your Service expires or is revoked, and you do not renew or reinstate it within 7 days of expiration or revocation
  • If you violate any applicable law in connection with your activities on Holiday PA
  • If we determine in good faith that such immediate action is necessary to protect Holiday PA, its users, or third parties (for example, in the case of suspected fraud, safety concerns, or other significant risks)

Inactive Profiles

Furthermore, if your Service Profile remains inactive (no active listings or no bookings accepted) for 120 days or more, Holiday PA reserves the right to remove your Profile or listings from the platform. Inactive Service Providers may need to contact Holiday PA if they wish to reactivate their Profile after such removal.

10. Insurance

You agree to obtain and maintain at your own expense all insurance that is required by law for the type of Services you offer, as well as any additional insurance that is appropriate for your activities. This includes (but is not limited to) the following obligations:

Mandatory Insurance

  • Maintain any insurance coverage that is legally required in the jurisdictions where you operate or provide Services
  • For example, if local law requires a certain type of insurance (such as professional liability insurance, workers' compensation, etc.) for your service or business, you must have and keep that insurance in force

Liability Insurance

  • Maintain general liability insurance (or the equivalent) with coverage limits that are appropriate and customary for your industry
  • This insurance should provide primary coverage for your liability and the liability of any employees or agents working for or with you, for any claims of third-party bodily injury or property damage arising from your provision of Services through Holiday PA

Automobile Insurance (if applicable)

  • If your Service involves the use of motor vehicles, maintain primary motor vehicle liability insurance with at least the minimum limits required by law
  • This insurance must cover you and any other person who may operate the vehicle in the course of providing the Service, for any liability arising from bodily injury or property damage that occurs while the vehicle is being used in connection with the Service

Additional Insurance Requirements

  • Holiday PA reserves the right, upon reasonable notice, to require you to obtain certain types of insurance or higher coverage limits beyond what is described above
  • We may also require you to name Holiday PA as an additional insured on any relevant insurance policy you carry
  • These requirements might be imposed based on the nature of your Services or changes in legal requirements or our business practices
  • If Holiday PA exercises this right, we will inform you of the new insurance requirements in advance, and you agree to secure and maintain any such additional insurance at your expense as a condition of continuing to offer your Service on the platform

Proof of Insurance and Verification

  • You agree to cooperate with Holiday PA and any third-party insurance partners we use to verify your compliance with these insurance requirements
  • This cooperation includes promptly providing certificates of insurance or other proof of coverage when requested
  • Holiday PA may, from time to time, ask you to furnish evidence that your insurance policies are in effect and meet the stated requirements

Notice of Lapse or Cancellation

  • If any insurance policy that you are required to maintain under these terms lapses, is cancelled, or is materially reduced in coverage, you must notify Holiday PA immediately
  • It is your responsibility to ensure that there is no gap in any required coverage
  • Failure to maintain required insurance or to inform Holiday PA of a lapse may result in suspension or removal of your Profile from the platform until compliance is restored (and could potentially lead to termination of this agreement)

Primary Coverage and Holiday PA's Insurance

  • In the event that Holiday PA obtains its own insurance that covers certain aspects of your Service (for example, a liability insurance program that provides some coverage for Service Providers), such insurance will be considered secondary to your own insurance
  • This means that your own insurance policies will be the primary source of coverage for any claims arising from your Services, and any insurance maintained by Holiday PA will apply only as excess coverage
  • Holiday PA insurance will step in only to cover amounts or losses that exceed the limits of your insurance (or in cases where your insurance does not respond to a claim)
  • The existence of any Holiday PA insurance does not reduce or remove your obligation to carry the insurance types and limits described in these terms
  • You agree that, if Holiday PA makes available any such insurance coverage, we may require you to sign additional terms or acknowledgments regarding the insurance

Cooperation in Claims

  • If a claim is made against you or Holiday PA relating to an incident that occurred during one of your Services, you agree to cooperate fully and reasonably with Holiday PA and our insurance partners
  • This includes providing timely and truthful information about the incident, assisting in any investigation, and complying with any reasonable requests (such as providing documentation or attending interviews) in connection with handling the claim
  • Your cooperation is crucial for insurance and risk management purposes and may be required to ensure coverage under either your insurance or Holiday PA's insurance (if applicable)

Incident Notification

  • You agree to promptly notify Holiday PA, as well as the insurer(s) on any applicable policies, of any incident or accident during a Service that results in personal injury to any third party or damage to someone's property
  • This notification should be made as soon as it is safe and practicable to do so
  • Timely notification is often a condition of insurance coverage, and it also allows Holiday PA to assist with safety and support for those affected, and to begin the claims process if necessary

11. Severability

If any provision of these Service Provider Terms, or any part of a provision, is found to be invalid, void, or unenforceable by a court of competent jurisdiction, that specific provision or part thereof will be deemed severed from these terms. The remainder of the Service Provider Terms will continue in full force and effect, and the validity and enforceability of all remaining provisions will not be affected.

12. Modifications to These Terms

Holiday PA reserves the right to modify or update these Service Provider Terms at any time. If we make material changes, we will provide you with appropriate notice, such as by sending an email to the address associated with your account or by posting a notification through the Holiday PA platform.

Unless otherwise stated, modifications will become effective 30 days after they are posted or communicated to you. If you continue to offer Services on Holiday PA or maintain your Profile after the effective date of any updated terms, that continued participation will constitute your acceptance of the revised Service Provider Terms. If you do not agree to the changes, you must stop offering Services and may terminate this agreement as described above.

13. Survival

Provisions of these Service Provider Terms that by their nature should survive termination of this agreement will survive (for example, provisions relating to fees, liability, indemnification, dispute resolution, and intellectual property rights).

In the event your Service Provider account is deactivated or these terms are terminated, you understand that you are not entitled to a restoration of your account or your Profile, nor are you entitled to recover any content or information you have submitted to the Holiday PA platform (although our Privacy Policy may describe data retention practices). Any obligations or liabilities incurred by you prior to termination of these terms will continue to apply even after termination.
