These Terms of Service govern your access to and use of the Holiday PA platform. Please read them carefully as they affect your legal rights.
1. Welcome to Holiday PA
These Terms of Service ("Terms") constitute a legally binding agreement between you and Holiday PA International Ltd ("Holiday PA", "we", "us", or "our") governing your access to and use of the Holiday PA platform, including our website, mobile applications, and all associated services (collectively, the "Platform").
Holiday PA connects independent customers with qualified local service providers to enrich their destination experiences. Our Platform facilitates bookings between customers and service providers whilst enabling accommodation partners and booking facilitators to participate in the value chain.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
2. Scope of Holiday PA Services
2.1 Platform Services
Holiday PA operates an online platform that enables:
- Customers to discover and book destination services from local professionals
- Service Providers to list and offer their services to visiting customers
- Partners (including accommodation owners and booking facilitators) to connect their customers with local services
2.2 Holiday PA's Role
Holiday PA facilitates transactions between independent parties but is not a party to the contracts between Service Providers and Customers. We are not an employer, agent, or insurer of any user. Service Providers are independent professionals responsible for their own services.

3.1 Eligibility
To use the Platform, you must:
- Be at least 18 years old (or the age of majority in your jurisdiction)
- Have the legal capacity to enter binding contracts
- Not be prohibited from using the Platform under applicable laws
- Comply with these Terms and all applicable laws
3.2 Account Registration
You may need to create an account to access certain features. When creating an account, you must:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account

- Create multiple accounts
- Transfer your account to another person
- Use another person's account
3.3 Identity Verification
We may require identity verification or background checks for certain users, particularly Service Providers. You authorise us and our third-party service providers to conduct verification procedures, which may include:

- Criminal background checks where permitted
- Professional licence verification
- Work eligibility confirmation
4. Using the Holiday PA Platform
4.1 Searching and Booking Services
The Platform allows Customers to search for, review, and book services. All bookings are subject to:

- Compliance with the Service Provider's requirements

4.2 Listing and Providing Services
Service Providers may create profiles and list services subject to:
- Meeting our Service Provider Standards
- Maintaining required licences and insurance

4.3 Communications
Users may communicate through our Platform messaging system. You agree to:
- Keep communications professional and service-related
- Not share personal contact information to circumvent the Platform
- Not solicit off-platform transactions
- Report inappropriate communications

All payments are processed through our payment partner, Stripe. By using our payment services, you agree to:

7.1 Your Content
You may post content including profiles, listings, reviews, photos, and messages ("User Content"). You grant Holiday PA a worldwide, non-exclusive, royalty-free licence to use your User Content to:

- Comply with legal obligations
7.2 Holiday PA Content
The Platform and its content (excluding User Content) are owned by Holiday PA and protected by intellectual property laws. You may not:
- Copy, modify, or distribute our content
- Use our trademarks without permission
- Create derivative works
- Reverse engineer our technology
8. Privacy and Data Protection
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using the Platform, you consent to our data practices as described in the Privacy Policy.
9. Prohibited Activities
You agree not to:

- Post false, misleading, or defamatory content

Holiday PA does not endorse or guarantee:
- The quality, safety, or legality of services
- The truth or accuracy of listings or User Content
- The qualifications of Service Providers
- That services will meet your requirements
11.2 No Warranty
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11.3 Service Provider Independence
Service Providers are independent professionals. Holiday PA does not:
- Employ, supervise, or control Service Providers
- Direct or control service delivery
- Guarantee Service Provider availability or performance
12. Liability Limitations
12.1 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLIDAY PA SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- LOST PROFITS, REVENUE, OR DATA
- SERVICE INTERRUPTIONS OR FAILURES
- DAMAGES EXCEEDING £100 OR FEES PAID IN THE PAST 12 MONTHS
12.2 Exclusions
Some jurisdictions do not allow certain liability limitations. In such cases, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless Holiday PA, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from:
- Your use of the Platform
- Your User Content
- Your violation of these Terms
- Your violation of any rights of another
- Your violation of applicable laws
14. Dispute Resolution
14.1 Service Quality Disputes
Disputes regarding the quality, completion, or performance of services provided through the Holiday PA platform are subject to the specific procedures outlined in our Payment and Payouts Overview. These procedures include:
- A 24-hour dispute window following service completion
- Required evidence submission within 7 days of dispute notification
- Investigation and determination processes as detailed in the Payment and Payouts Overview
14.2 Informal Resolution
For all other disputes not covered by section 14.1, before initiating formal proceedings, you agree to attempt informal resolution by contacting us at support@holidaypa.com.
14.3 Arbitration Agreement
Any disputes not resolved through the payment dispute procedures (section 14.1) or informal resolution (section 14.2) shall be resolved through binding arbitration under the rules of the London Court of International Arbitration (LCIA), except where prohibited by law.
14.4 Class Action Waiver
You agree to bring claims only in your individual capacity and not as part of any class or representative action.
14.5 Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
15. Modifications to Terms
We may modify these Terms at any time. We will notify you of material changes via email or Platform notification. Your continued use after changes become effective constitutes acceptance of the modified Terms.

16.1 Term
These Terms remain in effect while you use the Platform.
16.2 Termination by You
You may terminate by:
- Deleting your account
- Ceasing use of the Platform

16.3 Termination by Holiday PA
We may suspend or terminate your access if you:
- Violate these Terms
- Engage in fraudulent or illegal activities
- Harm other users or the Platform
- Remain inactive for extended periods
16.4 Effect of Termination
Upon termination:
- Your right to use the Platform ceases
- Provisions that should survive termination remain in effect
- We may retain certain information as required by law
17. General Provisions
17.1 Entire Agreement
These Terms and referenced policies constitute the entire agreement between you and Holiday PA.
17.2 Severability
If any provision is found invalid, the remaining provisions continue in full effect.
17.3 No Waiver
Our failure to enforce any provision is not a waiver of our right to do so later.
17.4 Assignment
You may not assign these Terms. We may assign our rights and obligations without restriction.

We may provide notices via:

17.6 Force Majeure
Neither party is liable for failure to perform obligations due to causes beyond reasonable control.

Trade booking partners and accommodation owners participating in our referral programme are subject to additional terms in our Partner Agreement, including commission structures and integration requirements.
